Q: How foreigners can set up a company in China?

I like to set up a company in China but do not know what steps involved in the business registration and whether there are some criteria foreigners need to satisfy the local authority. I heard that in some business sector such as internet related business a foreigner can not set up a wholly-owned business. I would also like to get some information about the visa/resident permit requirement in order to run the business in China.

Setting up a company as a foreigner is not easy and there are many things to take into consideration and to prepare when starting a business in China. You have to prove to the government that you have enough start-up capital for one. Then you also haver to understand the whole tax system, the registration process and have a solid business plan. You should also have well thought out location, business name and be in the clear whether you want to be wholly owned or start your business with a Chinese partner etc.

I actually stumbled upon a few useful articles on this site that explain the various steps fairly well. Of course, rules change fast in China so it's always a good idea to do some extra research to make sure there haven't been any major changes in recent months:

To deal successfully with Chinese businesses demands an appreciation of the culture of China, in both the social and business settings. At the very least, the western enterpreneur should make the effort to understand and respect the Chinese approach to business matters.

It is not so difficult to set up a trading company in China, but might need a lot of time, around 6 months maybe.

Besides, that depends on the business field too.

To set up a company in China is only complicated if a foreigner attempts to try and manage the process on her/his own.

It pays huge dividends to employ an expert advisor – a company specializing in setting up companies in China for foreigners, particularly one with a native English-speaking expert to advise, guide, and help you.

They can do literally everything for you – even whilst you are in your home country.

An additional bonus is that the correct visa can be arranged in advance for you before leaving ones home country, and this can be for two years, and renewable.

The firm I used has been in business for over 40 years, is headquartered in Beijing, treats everything in a very personal and confidential manner, is highly professional, and even offers a consultation service. You are welcome to email me at

speak_English@msn.com

if you would like me to connect you with them.

A final point of advice is to avoid corporate lawyers as they are looking for far more than just the cost of forming a company. Not being bound by the same high ethics as European or North American law firms they will often guide one to form the type of company that will require their ongoing support, and therefore prove to be an ongoing cash drain for the investor.

A: "... through ..."?  Only "through" comes to mind is "Shenzhen agent can connect you with an employer, who's authorized to hire waigouren ... and can sponsor Z visa." It's not like every 10th person you meet in Shenzhen's hood can sponsor work visa ...  The only way to change from student to labourer visa is just a regular way by: 1. Finding an employer, who'll apply for an Invitation letter; 2. Exit China and apply for Z visa in your home country's Chinese embassy; 3. Enter China in 30-days after Z visa was stamped into your travelling instrument ...As I am aware, you won't be able to switch to Working permit by remaining in China....,so make ready for a return to your home .... -- icnif77
