Q: Register a company in China (with or without Chinese partner) or Hong Kong.

I am involved in few business directions. 

 

1. Exporting from China to Europe (I am working on QC (quality control) for some importers from Europe) in many branches, sofa fabrics, screws and bolts, fiberglass mesh, etc... At this moment invoice is going directly from factory to customer in Europe. Factory from China is paying me commission, but I want to register a company and that European customer get my invoice. For this part of business I think it is best to have company in Hong Kong, just to make invoice and goods will never actually enter Hong Kong, just like reexport, But I don't know what is procedure when exporting Europe > Hong Kong > China

 

2. Exporting from Europe to China, mainly luxury Italian products (custom hand made clothes and shoes, wine, food, baby bed with Swarovski crystals)

 

3. Italian restaurant chain based on products from rice and rice flour (rice, pizza, pasta, cakes, coffee, tea). Franchising chain which already have restaurants in Washington, London, Krakow, Berlin, Aachen, Verona, Isola della Scala, etc. Idea is to register every restaurant with Chinese partner, this is good idea or not?

 

If you could please share some experiences, what to do and what not to do, how to protect myself.

The procedure is the same from China to Europe or China to HK to Europe. just the shippment agent need to make some paper work for you . Yes, based on your description, HK company will be enough for you

Different product has different rate of customs tax.

The idea will be set up a management company first, then you can open your italian restaurant in different cities . The chinese partner is not necessary. the company can be wholly foreigned owned. All you have to do is make sure your business model, cost, way to promote your business. others things are to set up your company, inject your registration capital into china bank account, hire local employees , apply for resident permit as foreigners working in China.
